2. THE MEMBERSHIP OF THE ASSOCIATION

| 2.1. |
To be a member of the Association, the applicant must be actively engaged in passenger-, baggage-, cargo- and/or ramp- handling at airports as outlined in sections 4, 5 and 6 of Annex A of the IATA Ground Handling Agreement of the AHM 1998 edition. |

| 2.2. |
Airport- or airline- owned or -controlled handling companies or departments are in principle excluded from membership. Control means exercising decisive influence on the handling provider. |

| 2.3. |
Individual membership is only available to handling companies which are not controlled by another member. |
|
| 2.4. |
In the event of any change in ownership or control, the member has to inform the Board in writing for reconfirmation of his membership. |

| 2.5. |
The application for membership must be made in writing and addressed to the chairman or the secretary-general of the Association. Membership to be agreed upon by the Board of the Association. |

| 2.6. |
Membership can at all times be terminated by a decision of the Board. |
|
| 2.7. |
Each member of the Association is entitled to one vote. |
|
| 2.8. |
The Association may form regional groups to operate within and on behalf of IAHA. Membership fees due to IAHA may in that case be reduced by the equivalent amount of the regional membership fee up to a maximum of one third of the IAHA fee per individual member. Regional members to have full benefit of membership and to be eligible for full participation in working groups and board representation.

| 2.9. |
Observer status : Potential members may join IAHA as Observers subject to Board approval on receipt of a provisional application form at no fee up to 31st December of the year of their application and will be entitled to attend all Working Groups and the Review and Annual General Meetings. Full fees will then be applicable from the following 1st January.

| 2.10. |
Membership may be temporarily suspended at the discretion of the Board for a period of up to two years for members who declare themselves to be in a position of financial hardship and who have expressed their interest to maintain their membership status. During this period these members will retain full membership status. |

| 2.11. |
Affiliated membership : Similar associations of ground handling companies in various parts of the world may become affiliated members and are entitled to attend the IAHA meetings on a reciprocal observer basis to be approved by the Board. |
|
| 2.12. |
Alliance(s) of different ground handling companies are not eligible for affiliated membership. |
|
| 2.13. |
A member should be represented by a senior executive. |
